- Confidentiality: We counsel clients on commercialisation, protection and enforcement of technology involving pre-transactional (licensing/assignment) strategies for non-disclosure, establishing transactional safeguards in parent documents to ensure confidentiality of sensitive data and putting in place requisite enforcement measures to suit client interests of long term profitability and protection. Also, technology licences can attract applicability of India’s foreign investment/exchange regulations – this aspect is built into our advice;
- Deal structuring: The team has proficiency in drafting contracts re commercialisation/protection of technology, carrying out technology due-diligence, entering negotiations with prospective receivers of technology and approaching appropriate dispute redressal forums for enforcement of rights.
- Data privacy: We have experience in auditing companies on compliance protocols vis-à-vis software licenses undertaken from third party vendors for development of proprietary software products; in aiding start-ups looking to put in place protocols against third party claims that may arise at a later date; drafting usage policies for technical tools, such as adequate take-down measures; training clients’ employees to advance the reach of data privacy and corporate compliance policies.
- Media and advertising: Attorneys comment frequently on issues of competition law and comparative advertising, and also assist on ascertaining fiscal ramifications – as far as determinable. Other services include advice on co-branding and methods of maximising reach of advertising/media content, drafting and vetting corporate communication strategies, addressing online advertising concerns, and educating client employees on corporate social media engagement policies – often working closely with clients’ third party vendors/advertising firms to reduce duplicity of work/costs.
- The TMT team also has experience in drafting contracts for optioning rights of books for adaptation to film, content production contracts, non-disclosure provisions for content protection, agreements for on-boarding creative/technical individuals and finance and profit sharing contracts.
